Timeline Guarantee
We finish on time — or we pay you $500 for every day we’re late, not to exceed the total contract price.
I. The Guarantee
UCT guarantees that it will complete the work described in the Contract by the Agreed Timeline defined in Section II below. If UCT fails to complete the work by the Agreed Timeline, and the delay is not excused under Section IV below, UCT will pay Client Five Hundred Dollars ($500.00) for each calendar day the completion is delayed beyond the Agreed Timeline, subject to the cap described in Section V.
The parties agree that, given the nature of custom tile installation projects, the actual damages Client would suffer from a late completion – including inconvenience, disruption to the household or business, and potential additional living or operating expenses – are difficult to ascertain or quantify with precision at the time of contracting. The parties therefore agree that the amount specified above is a reasonable, good-faith estimate of the anticipated harm from a delay, and not a penalty.
II. The Agreed Timeline
Before work begins, the Contract shall state a specific completion date, or a specific number of working days for completion (the “Agreed Timeline”). The Agreed Timeline is the sole basis for this Guarantee. Any extension of the Agreed Timeline shall be documented in writing and signed by both UCT and Client before it becomes effective.
III. What Is Covered
This Guarantee is based solely on UCT’s own labor and workmanship. The Agreed Timeline reflects only the days UCT’s crew requires to complete the work UCT has contracted to perform.
IV. What Does Not Count Toward the Timeline
The Guarantee does not apply to, and the Agreed Timeline is automatically extended for the length of, any delay outside UCT’s direct control, including but not limited to:
- Material or product delivery delays (including backordered tile, fixtures, or supplies);
- Change orders or additions to the original scope of work requested by the contractor or homeowner;
- Client-caused delays (including delayed selections, decisions, approvals, payments, or access to the work area);
- Delays caused by other contractors or subcontractors engaged on the project;
- Permitting or inspection delays;
- Conditions discovered after demolition that require additional work before UCT can complete its work to its quality standard (including water damage, mold, structural issues, code corrections, or other pre-existing conditions); and
- Weather, natural events, or other circumstances beyond UCT’s reasonable control (force majeure).
Upon the occurrence of any of the foregoing, the Agreed Timeline will be extended by the length of the resulting delay, and this Guarantee will apply to the adjusted schedule.
V. Maximum Payout
Notwithstanding anything to the contrary in this Guarantee, UCT’s total payout obligation under this Guarantee shall not, under any circumstance, exceed the total price of the Contract.
VI. Governing Law
This Guarantee shall be governed by, and construed in accordance with, the laws of the State of Utah, without regard to its conflict-of-laws principles.
